Decentral Inc. (“Decentral”) is the developer of the software application known as “Jaxx Wallet” or “Jaxx Liberty” (collectively referred to as “Jaxx” in this agreement). This document constitutes a legal agreement between Decentral and you (referred to as “You” or “Your”) as the user of the Jaxx Wallet. By accepting these terms, You are granted the right to use Jaxx for personal purposes, subject to the rights, responsibilities, and obligations outlined herein.

Jaxx Wallet is a multi-blockchain software tool that allows You to generate and manage different cryptocurrency wallets using a “Backup Phrase” — a 12-word seed phrase either created by You or generated within the Jaxx app. This phrase is critical, as it is used to derive the private keys that give access to and control over your digital assets (such as Bitcoin, Ethereum, or Litecoin).

Unlike conventional software systems, Jaxx Wallet does not operate using account logins or passwords. This design choice reflects its distinct security architecture. Before performing significant transactions, it's essential to understand how Jaxx and similar blockchain wallet applications work. By using the Jaxx Wallet, You accept full responsibility for your digital holdings. Decentral does not have access to your private keys or wallets and does not possess or manage any of your cryptocurrencies, including Bitcoin or ERC-20 tokens.

Your Duties

Jaxx is created to empower its users, which implies that you are required to fulfill certain obligations, such as:

  • 1. Safeguarding your Backup Phrase (as Decentral cannot "recover" it and never has access to it); and,
  • 2. being cautious not to overwrite or delete Jaxx without first backing up Your Backup Phrase; and,
  • 3. ensuring that the devices you utilize Jaxx on are free from viruses, malware, etc; and,
  • 4. adhering to your local laws; and,
  • 5. complying with the laws of Canada, where Decentral is headquartered; and,
  • 6. utilizing Jaxx in a lawful manner; and,
  • 7. verifying that all of your transactions are conducted with accurate blockchain addresses; and,
  • 8. maintaining the confidentiality of Your Backup Phrase and refraining from sharing it with anyone, including Jaxx customer support (who will never request Your Backup Phrase).

Your Privacy is of Great Importance

Jaxx is built with a focus on preserving user privacy during blockchain interactions. While your Backup Phrase and private keys are never shared with Decentral, certain non-sensitive data — such as telemetry logs or error reports — may be sent to Decentral. This information helps improve app performance and troubleshoot technical problems. Importantly, Decentral does not sell or share your personal information with advertisers and applies strict controls to limit internal access to logged telemetry data.

To make full use of Jaxx’s functionality, the app may request access to your mobile device’s camera. This access is used exclusively to scan QR codes, which are commonly used to encode blockchain addresses and transaction data. No camera images are transmitted to Decentral. However, information extracted from QR codes — such as wallet addresses or transaction details — may be included in the data broadcast to blockchain networks, and some of this data may pass through Decentral’s infrastructure as part of the transaction process.

Blockchains Pose Risks

Using Jaxx involves inherent risks tied to digital assets. When interacting with blockchain networks via Jaxx, you acknowledge that Decentral does not have authority over any blockchain. This means they cannot reverse, alter, or affect transactions that you initiate. It is your responsibility to fully understand the protocols and behavior of the blockchains you choose to use. Decentral assumes no liability for any loss or consequences arising from your interactions with these networks.

License Agreement

Jaxx is provided to you under a personal, non-exclusive, non-transferable, non-assignable, royalty-free license that is valid worldwide. Please note, however, that the Jaxx application contains various third-party open-source libraries, each governed by its own license terms. These third-party components are not subject to the same licensing agreement as Jaxx itself.

No Warranty

Jaxx is distributed free of charge and is provided strictly “as is.” Decentral makes no guarantees regarding the continuous security, stability, or reliability of the software. There are no promises of uninterrupted functionality or that the software will be error-free. To the fullest extent allowed by law, Decentral disclaims all implied or express warranties, including but not limited to those related to merchantability, fitness for a specific purpose, ownership, and non-infringement.

Termination or Suspension of Service for Unlawful Conduct

Although Jaxx is installed locally on your device, it depends on backend services maintained by Decentral or third-party providers. Decentral reserves the right to disable or suspend this supporting infrastructure, either temporarily or permanently, without prior notice if any illegal activity is suspected or if such action is deemed necessary at their sole discretion.

Availability of Jaxx Service

Some parts of the Jaxx service—or the entire platform—may be unavailable in specific regions due to geoblocking or other restrictions implemented by Decentral. These limitations help ensure legal compliance and aim to deliver a better-quality experience to users in supported locations.

Jaxx includes an optional feature referred to as "JAXX", which provides access to additional functionalities. When signing up for this service, users may be required to share certain personal data with Decentral. This information will be treated as confidential and handled in accordance with applicable laws. Users of myJAXX may be subject to specific terms of use and might receive email updates about feature enhancements or service changes.

Additionally, Jaxx integrates with external services operated by independent third-party entities that are not under the control of Decentral. These third-party platforms may require separate registration and are governed by their own terms and policies. Decentral disclaims responsibility for any issues or liabilities resulting from your interaction with such external services through the Jaxx interface.

If you choose to use third-party services for transferring digital assets or managing financial transactions, you acknowledge the potential risks involved, including service failures, errors, or other issues that could result in loss. By proceeding, you agree to hold Decentral, along with its employees, contractors, executives, and affiliates, harmless from any claims, damages, or liabilities arising from your interaction with these third-party services, whether through proper or improper use.

Jaxx is offered to users at no cost, and in order to support its continued operation within a competitive market, Decentral’s liability is strictly limited. Regardless of any other provision in this agreement, Decentral’s maximum liability to you—under any legal claim or cause of action—is capped at 0.01 bitcoins or 50 Canadian dollars, depending on which is higher at the time. Decentral will not be held accountable for any additional or indirect damages that exceed this stated limit.

User Support

Decentral offers complimentary technical support to users of the Jaxx wallet. However, this assistance is provided as-is, without any guarantees, and users accept all associated risks. Decentral reserves the right to modify, limit, or discontinue free technical assistance at its sole discretion and without prior notice. Users are expected to communicate respectfully with Decentral’s support staff and must exercise caution to avoid sharing sensitive information such as their Backup Phrase, private keys, or any other confidential credentials.

Amendment

Decentral retains the authority to update or revise this agreement, provided a 15-day notice is issued to users. If you disagree with any proposed changes, your sole recourse is to discontinue use of the Jaxx wallet. You are not permitted to alter or negotiate the terms of this agreement yourself.

Choice of Forum and Governing Law

Any legal disputes or claims resulting from this agreement shall be handled exclusively by the courts located in Toronto, Ontario, Canada, and will be governed by the laws of the Province of Ontario.

Entire Agreement

This document constitutes the full and final agreement between the parties. It replaces all prior understandings, communications, or representations, whether oral or written. The parties acknowledge that they are entering into this agreement without relying on any promises, statements, or warranties not explicitly stated herein.
